Pencils Protocol provides access to a blockchain-based platform that powers an ecosystem of auctions for crypto and real-world-collectables assets and DeFi services (the “Platform”) through the Website https://pencilsprotocol.io, (refers to “The Platform”). The Platform provides users to participate in auction, staking or leveraging certain crypto assets. The Platform does not guarantee any profitability by staking and leveraging any crypto assets as applicable. Your use of the Platform is entirely at your own risk. The Platform is available on an “as is” basis without warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability, title, fitness for a particular purpose and non-infringement.
Assumption of Risk. You assume all risks associated with using the Platform, and crypto assets and decentralized systems generally, including but not limited to, that:
Crypto assets are highly volatile;
Using crypto assets is inherently risky due to both features of such assets and the potential unauthorized acts of third parties;
You may not have ready access to assets;
You may lose some or all of your tokens or other assets;
You agree that you will have no recourse against anyone else for any losses due to the use of the Platform. For example, these losses may arise from or relate to incorrect information, software or network failures, corrupted cryptocurrency wallet files, unauthorized access, errors, mistakes, or inaccuracies, and third-party activities.
You further understand that the markets for these crypto assets are highly volatile due to factors including (but not limited to) adoption, speculation, technology, security, and regulation. You acknowledge that the cost and speed of transacting with cryptographic and blockchain-based systems such as Ethereum or Scroll are variable and may increase dramatically at any time. You further acknowledge the risk that your crypto assets may lose some or all of their value while they are supplied to the Platform. If you stake and restake crypto assets from the Platform, others may interact with the Platform to seize your collateral in a slashing event. You further acknowledge that we are not responsible for any of these variables or risks, do not own or control the Platform, and cannot be held liable for any resulting losses that you experience while accessing or using the Services. Accordingly, you understand and agree to assume full responsibility for all of the risks of accessing and using the Services and interacting with the Platform. The Platform does not collect any personal data, and your interaction with the Platform will solely be through your public crypto wallet address. Any personal or other data that you may make available in connection with the Platform may not be private or secure.
THESE TOKENS ON THE PLATFORM WILL BE OFFERED FOR AUCTION ONLY OUTSIDE OF THE UNITED STATES TO NON‐U.S. PERSONS, PURSUANT TO THE PROVISIONS OF REGULATION S OF THE U.S. SECURITIES ACT OF 1933, AS AMENDED. THE OFFER AND AUCTION OF THESE TOKENS WILL NOT BE REGISTERED UNDER THE SECURITIES ACT, AND MAY NOT BE OFFERED OR SOLD IN THE UNITED STATES ABSENT REGISTRATION OR AN APPLICABLE EXEMPTION FROM THE REGISTRATION REQUIREMENTS.
The Platform is not available to users from Bahamas; Belarus; Botswana; Burundi; Cambodia; Canada; Central African Republic; China; Congo, The Democratic Republic of the; Cuba; Côte d’Ivoire; Ethiopia; Ghana; Iran, Islamic Republic of; Iraq; North Korea (Democratic People's Republic of Korea); Lebanon; Libya; Mali; Myanmar; Nicaragua; Pakistan; Panama; Somalia; South Sudan; Sri Lanka; Sudan; Syrian Arab Republic; Trinidad and Tobago; Tunisia; United States; Venezuela, Bolivarian Republic of; Yemen; Zimbabwe and Standard OFAC exclusions.
